These terms are an agreement between you and FLOWNET TECH LLC, the
company that operates Codex Pass ("we"), and apply to our website,
app, and hosted services. Using them means you agree to these terms
and, if acting for an organization, have authority to do so.
1. The service
Codex Pass supports AI connections, team management, shared knowledge,
backups, conversations, remote sessions, and available voice or image
features. Access depends on your version, settings, workspace, plan,
and providers. Roadmap items do not guarantee future delivery.
2. Accounts and connections
Keep account information accurate and protect passwords, keys,
connection codes, and devices. Connect only accounts you are entitled
to use. Report suspected misuse. Workspace administrators may limit or
revoke member and device access.
Optional Google sign-in uses openid, email,
and profile for account access and eligibility checks,
without accessing Gmail or Drive. Our
Privacy Policy explains its data
use, unlinking, and deletion.
3. Responsible use
Use the service lawfully. Do not steal credentials, access systems
without permission, distribute malware, disrupt services, or bypass
limits. Connected providers' terms and privacy practices also apply.
Codex Pass is independent of Google and OpenAI and does not grant
additional rights to their services.
Review AI output and actions. Tasks, remote sessions, and enabled
sharing tools can modify files or connected systems using granted
permissions. Give access only to trusted people and obtain permission
to upload or record others' content.
4. Content, teams, and sharing
You retain your rights in content and authorize processing needed to
provide the features you use. Organizational work also follows
applicable organization policies and agreements. Administrators are
responsible for access, retention settings, and appropriate notices to
members.
Sharing exposes content to the selected audience; participants in a
common discussion see its messages. Revocation cannot recall saved
copies. Backups, memory, and handovers may preserve work after members
leave. Review what you share or restore and keep your own backups.
Shared discussions must follow our
Content Guidelines.
Shared content is checked automatically before it appears, and we may
remove content, block participants, or suspend shares that break them.
Our Privacy Policy governs personal
information. Separately licensed software remains governed by its own
license.
5. Plans, usage, and charges
Paid prices, seats, usage, renewal, and refund conditions are
disclosed at purchase or agreed separately. Subscriptions renew as
disclosed until canceled through billing controls or support.
Unlinking Google, uninstalling the app, or disconnecting a device does
not cancel a subscription.
You are responsible for authorized charges, including permitted guest
usage. Estimates may differ from final usage; stopping a task or
reaching a limit may not cancel incurred costs. Provider charges may
apply separately. Refunds follow purchase terms, agreements, and
applicable law.
6. Availability and responsibility
Maintenance, connectivity, quotas, providers, or updates can affect
service. Preview features may change or end. Unless agreed otherwise,
uninterrupted access, specific models, correct output, and complete
data recovery are not guaranteed.
To the extent permitted by law, services are provided "as is" and "as
available", without implied warranties; we are not liable for indirect
or consequential losses. Our total liability for any claim relating to
the service is limited to the greater of what you paid us for the
affected service in the 12 months before the claim and US$100.
Mandatory consumer rights and liability that cannot legally be
excluded remain unaffected.
7. Ending access and changes
You may stop using the service and request closure. We may restrict
access for abuse, security risks, unpaid charges, violations, or legal
requirements, explaining why where practical and appropriate. Incurred
charges and required records remain.
We will notify you of material changes as required by law. Stop using
affected services if you disagree. A separate written agreement
controls where it expressly replaces these terms.
8. Governing law
These terms are governed by the laws of the State of New Jersey, USA,
without regard to conflict-of-law rules. Disputes are resolved in the
state or federal courts located in New Jersey, unless mandatory law
lets you bring a claim where you live.
